ScinoPharm upholds principles of integrity in business management, actively promoting operational transparency to safeguard the interests of stakeholders. In addition to establishing a sound and efficient Board of Directors, we also established the Remuneration Committee and the Audit Committee in 2011 and 2012, respectively, to strengthen corporate governance. Our ScinoPharm’s current governance structure includes Shareholders’ Meeting, Board of Directors, the Audit Committee, the Remuneration Committee, and the Internal Audit Office, which are respectively governed by our “Corporate Governance Best Practice Principles” , “Rules Governing Shareholders’ Meetings “ , “Rules Governing the Meeting of the Board of Directors” , “Audit Committee Charter”, “Remuneration Committee Charter” , and “Rules Governing the Scope of Powers of Independent Directors”, as well as by our internal control and audit policies.

The Board of Directors is the overall decision-making body for the company. The Chairman chairs the Shareholders’ Meeting and the Board Meeting. The CEO is responsible for the implementation of Board decisions, the management of company operations, and the supervision of senior managers and relevant business units.
